The Service is a technology platform only. FDBCK does not provide legal, HR, psychological, employment, or professional advice.

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations.
• Submit unlawful, defamatory, harassing, discriminatory, or infringing content.
• Reverse engineer, copy, modify, or exploit the Service.
• Interfere with system integrity or security.
• Use the Service to harm individuals or organizations.

We may remove content or suspend access at our sole discretion.

5. User Content

"User Content" means any text, feedback, comments, data, or other materials submitted through the Service.

You retain ownership of your User Content. However, by submitting User Content, you grant FDBCK a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, store, process, reproduce, modify, analyze, and use such content in connection with operating, improving, and developing the Service.

You represent and warrant that you have all rights necessary to submit the User Content and that it does not violate any third-party rights or laws.

6. Aggregated and Anonymized Data Use

You grant FDBCK a worldwide, perpetual, irrevocable, royalty-free license to aggregate, de-identify, anonymize, analyze, and use User Content and system interaction data for:

• Improving and developing the Service;
• Training, refining, and evaluating AI models;
• Benchmarking and analytics;
• Academic research;
• Publication of statistical insights;
• Industry reports and thought leadership.

FDBCK will not publicly disclose identifiable personal information or organization-specific confidential information without explicit written consent.

Once de-identified and aggregated, such data shall not be considered personal data or confidential information.

7. Organizational Responsibility

If the Service is used within an organization, the organization is solely responsible for:

• Providing required notices to employees or users;
• Obtaining all legally required consents;
• Ensuring compliance with employment, labor, and data protection laws;
• Determining how feedback and AI outputs are used in employment decisions.

FDBCK acts solely as a technology provider and is not responsible for internal organizational policies, employment decisions, or disputes.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate summaries, insights, analytics, and feedback-related outputs.

AI-generated outputs:

• May contain inaccuracies or incomplete interpretations;
• Are provided for informational purposes only;
• Do not constitute legal, HR, employment, psychological, or professional advice;
• Should not be relied upon as the sole basis for employment or organizational decisions.

You are solely responsible for reviewing and evaluating all AI-generated content before taking action.

9. Subscription and Payment

Certain features may require payment. By subscribing to a paid plan, you agree to pay all applicable fees.

Fees are billed in advance and are non-refundable unless required by law. We may change pricing with prior notice.

10. Intellectual Property

All rights, title, and interest in and to the Service, including software, design, trademarks, branding, and content, are owned by FDBCK or its licensors and are protected by intellectual property laws.

No rights are granted to you except as expressly stated in these Terms.

11. Indemnification

You agree to defend, indemnify, and hold harmless FDBCK, its founders, officers, employees, contractors, affiliates, successors, and assigns from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service;
• Your User Content;
• Your violation of these Terms;
• Your violation of any law or regulation;
• Your infringement of any third-party rights;
• Any employment, HR, or organizational decision made based on feedback, analytics, or AI-generated outputs from the Service.

FDBCK reserves the right to assume exclusive defense and control of any matter subject to indemnification.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, FDBCK disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

13. Limitation of Liability

To the fullest extent permitted by law, FDBCK shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, reputational harm, business interruption, or employment-related claims arising out of or related to your use of the Service.

FDBCK's total cumulative liability for any claim arising from or related to the Service shall not exceed the greater of:

• (a) The total amount paid by you to FDBCK in the twelve (12) months preceding the claim; or
• (b) One hundred dollars ($100).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall remain in effect.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Pennsylvania.

16. Changes to Terms

We may modify these Terms at any time. Updated Terms will be posted on the website with a revised effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
